The Board of Directors may decide that others than the entire Board of Directors together may also sign the company if there are no restrictions in the Articles of Association. They then become special signatories.

Only natural persons can be special signatories. The special signatories can be people on or off the board.

If a special signatory is not on the board at the same time, it is called an external special signatory.

If there is a CEO, this may be signed in certain questions

If the limited company has a CEO, that person has, by law, the right to sign when it comes to day-to-day management. What belongs to the day-to-day management varies from case to case and depends, among other things, on the size of the company.

This right exists even if the board has decided that the CEO shall also be a special signatory.
