Signing rights administrative matters (adminSign)

Unless limited by your Articles of Association, the board can authorize specific people to sign on behalf of the company. These authorized representatives are called special signatories.

How Special Signatories Work:

  • Who qualifies? Only real people (individuals) can be special signatories.
  • Who can be chosen: Anyone—whether they are a board member or an outside party. Non-board members are considered external special signatories.

The CEO’s Role:

  • Day-to-day management: By law, a CEO automatically has the right to sign off on routine, daily business operations (what counts as "routine" depends on your company's size).
  • No extra approval needed: This legal right exists even if the board hasn't explicitly named the CEO as a special signatory.

You can look up authorization setups and special signatories across Sweden, Norway, Denmark, Finland, and Spain through our Company Signing Combinations data.
